Comprehensive Terms and Conditions

Effective Date: April 2026 | Global Digital Services Agreement

1. ACCEPTANCE OF THIS AGREEMENT

Welcome to After Graphic Studio (“AGS,” “Company,” “We,” “Us,” or “Our”). We are a premier AI Software House and Creative Agency.

We provide advanced software development, digital branding, AI solutions, and Generative Engine Optimization. These professional services are strictly governed by these Terms and Conditions.

By accessing our website, you acknowledge that you have read and agree to these Terms and Conditions. You must also review our Privacy Policy for data handling procedures.

If you represent a corporate entity, you warrant that you have the legal authority to bind them to this agreement. If you disagree, you must stop using our services immediately.

2. EXHAUSTIVE DEFINITIONS

To ensure absolute clarity in these Terms and Conditions, specific terminology applies throughout this document.

“Account” means the digital portal provided by After Graphic Studio for managing projects and invoices.

“AI Services” refers to any tool powered by artificial intelligence, machine learning, or generative algorithms.

“Deliverables” refers to the final software, branding assets, or campaigns created by our team for you.

3. ACCOUNT SECURITY & ELIGIBILITY

After Graphic Studio provides B2B professional services. You represent that you are at least eighteen (18) years of age.

You must possess the absolute legal capacity to form a binding contract under these Terms and Conditions.

You are strictly responsible for maintaining the confidentiality of your account login information and API keys.

You agree to instantly notify our administrative team of any unauthorized use or suspected breach of security.

We reserve the right to request official proof of identity before initiating high-value digital engineering projects.

4. ACCEPTABLE USE POLICY

The integrity of our cloud infrastructure is critical. This section of our Terms and Conditions outlines acceptable use for all clients.

You agree not to use the Services for any unlawful purpose that damages our systems.

You explicitly agree NOT to upload malicious code, ransomware, or viruses to our secure servers.

You may not utilize our platforms to send unsolicited promotional materials or illegal spam.

Engaging in data mining or web scraping without our explicit written consent is a strict violation of these Terms and Conditions.

5. INTELLECTUAL PROPERTY RIGHTS

All pre-existing frameworks, AI architectures, and the After Graphic Studio brand remain our exclusive property.

Nothing in this agreement grants you rights to our Background IP.

Upon full payment of all invoices, we assign to you the intellectual property rights of the finalized Deliverables.

We do not transfer ownership of native editable files unless explicitly stated in a separate purchase agreement.

Our agency reserves the worldwide right to showcase the completed work in our digital portfolio.

6. AI SERVICES PROTOCOLS

This specific clause of the Terms and Conditions governs your use of our Artificial Intelligence solutions and generative tools.

You may not analytically reverse-engineer or dissect the AI tools provided by us.

You are prohibited from using our deliverables to train competing artificial intelligence models.

You acknowledge that AI-generated content can inherently be unpredictable and may contain hallucinations.

Human review and final approval are absolutely mandatory before deploying AI content in live environments.

7. PROJECT EXECUTION

The successful execution of Web Engineering projects requires active client participation.

You agree to provide necessary digital assets and feedback within the timelines stipulated in these Terms and Conditions.

If a project is stalled for more than fourteen days due to client unresponsiveness, we may pause the project.

Any requests for additional features outside the initial scope will be considered “Scope Creep.”

These requests will be subject to separate technical estimation and additional billing.

8. PAYMENT AND FEES

You agree to pay all financial fees in strict accordance with the billing schedules agreed upon.

All invoices issued by After Graphic Studio are due upon receipt under these Terms and Conditions.

We reserve the absolute right to suspend Services if payments are not received promptly.

All stated prices are completely exclusive of applicable national or local taxes, including VAT.

Any outstanding account balance may accrue a late payment penalty of 1.5% per month.

9. STRICT CONFIDENTIALITY

Both parties agree to protect “Confidential Information” disclosed during the term of this contract.

The Receiving Party agrees not to use any Confidential Information except to perform explicit obligations.

We protect confidentiality using the same degree of care used for our own sensitive business data.

Exceptions include information already in the public domain or required by a binding court order.

10. DISPUTE RESOLUTION

These Terms and Conditions shall be exclusively governed by the laws of the Arab Republic of Egypt.

You and After Graphic Studio agree to attempt to negotiate any dispute informally for thirty days.

If unresolved, claims shall be settled by binding arbitration in accordance with the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA).

You legally agree that any proceeding shall be strictly limited to the Dispute between us individually.

11. MISCELLANEOUS LEGAL PROVISIONS

After Graphic Studio shall not be liable for any delay resulting from causes beyond our reasonable control.

Visiting our website or signing contracts constitutes binding electronic communications under these Terms and Conditions.

If any provision of these Terms and Conditions is unlawful, that part is deemed severable.

This document constitutes the entire agreement between you and After Graphic Studio regarding the use of our services.
